1. Scope and Acceptance
1.1 These Terms and Conditions (“T&C”) govern all B2B transactions between WW Group B.V. – Leaves of Dawn (“the Seller”) and its professional customers (“the Buyer”).
1.2 By registering or placing an order on the B2B portal, the Buyer confirms acting in a professional capacity and accepts these T&C in full.
1.3 The Buyer explicitly waives its own standard terms and conditions, even if communicated after these T&C. Any derogation is only valid if expressly agreed in writing by the Seller.
2. Access and Registration
2.1 Access to the portal is reserved for professional customers possessing a valid VAT number and approved by the Seller.
2.2 The Seller may refuse or suspend access at any time in case of incomplete, inaccurate, or misleading information.
3. Offers, Prices and Discounts
3.1 Prices are expressed in euros (€), excluding VAT, transport, and taxes unless otherwise stated.
3.2 Discounts are applied according to the Buyer’s tier level:
• Tier 1 and Tier 2: displayed automatically in the portal.
• Tier 3 (full pallet orders): available only upon direct quotation.
3.3 The Seller may modify prices at any time; confirmed orders remain at the agreed price.
4. Orders and Acceptance
4.1 Orders placed via the portal are binding once confirmed by the Seller.
4.2 The Seller reserves the right to cancel or suspend any order in case of late payment, stock issues, or suspected misuse.
5. Payment Terms
5.1 Payment methods include:
• Bank transfer upon invoice, payable within 21 working days; or
• Online payment via Bancontact or iDEAL (immediate payment).
5.2 Invoices are payable within 21 working days unless another term is indicated on the invoice or order confirmation.
5.3 In the event of non-payment by the due date, the Seller reserves the right to apply a fixed interest of 10% on the outstanding balance and to suspend further deliveries without prior notice.
5.4 If a payment remains unpaid more than 60 days after the due date, the Seller may engage a debt recovery company, and all related legal and administrative costs will be borne by the Buyer.
5.5 The goods remain the property of the Seller until full payment is received.
6. Withholding Taxes
In certain countries, a withholding tax may apply on invoice amounts. Such withholdings shall be borne by the Buyer and remitted directly to the local tax authorities. Under no circumstances shall the Seller bear costs related to foreign tax legislation. The full invoiced amount remains due to the Seller.
7. Delivery and Risk Transfer
7.1 Delivery times are indicative and subject to stock availability.
7.2 Risk passes to the Buyer once the goods are handed to the carrier.
7.3 Any visible damage or shortage must be reported in writing within 8 days of delivery, by registered letter to the Seller’s registered office.
8. Returns and Complaints
8.1 Returns are accepted only if expressly agreed in writing.
8.2 Complaints must be submitted by registered letter within 8 days of delivery. Beyond this period, deliveries are deemed accepted.
8.3 In case of justified complaint, the Seller may, at its discretion, replace the goods or issue a credit note.
9. Warranty and Liability
9.1 The Seller undertakes to deliver goods in accordance with agreed specifications.
9.2 None of the Seller’s obligations constitute an obligation to achieve results.
9.3 The Seller cannot, under any circumstances, be required to appear as a third party in any claim made by an end consumer against the Buyer.
9.4 Except in cases of willful misconduct or gross negligence, the Seller’s liability is limited to the value of the affected order and excludes indirect or consequential damages.
10. Intellectual Property
All trademarks, product designs, packaging, texts, and visuals under the Leaves of Dawn brand remain the exclusive property of WW Group B.V. and may not be reproduced, distributed, or used without prior written consent.
11. Force Majeure
The Seller shall not be held liable for delays or failures to perform due to causes beyond its reasonable control, including but not limited to transport issues, strikes, natural disasters, or supplier delays.
12. Data Protection
The Seller processes personal and company data in accordance with the EU General Data Protection Regulation (GDPR) and Belgian law. Details are available in the Privacy & Cookie Policy.
13. Governing Law and Jurisdiction
13.1 All contractual relations are governed exclusively by Belgian law.
13.2 Any dispute arising shall fall under the exclusive jurisdiction of the courts of Brussels, Belgium.
14. Acceptance
By registering on or ordering through the Leaves of Dawn B2B portal, the Buyer acknowledges having read and accepted these Terms and Conditions.
